General Risk Warning
An investment in shares involves a high degree of risk. You are not certain to make a profit; you may lose money and may not get back the full amount of your investment. The price of an investment in shares may change quickly and may go down as well as up.
Accordingly, prospective investors in shares should carefully consider all of the information relating to a particular investment, the risks attached to that investment and the financial resources available to them before making an investment decision.
If any doubts remain about the suitability of an investment then you should consult an investment advisor authorised under the Financial Services and Markets Act 2000.
Initial Public Offerings
Companies listing on the LSE Official List, AIM, and PLUS Markets
An IPO (Initial Public Offering) occurs when a company first sells its shares to the public (to institutional and retail investors), to be traded on an Investment Market, such as the London Stock Exchange or the PLUS Market. A company can choose to come to the market for a number of reasons. Usually they do this to raise new capital through the sale of shares. This capital can be used to fund expansion, make aquisitions, pay-off existing investors or to restructure the company finances.

Real Estate Investment Trusts
Tax-Efficient Property Investing
Real Estate Investment Trusts (REIT) are a specific type of company that often look to raise capital through listing on a stock exchange. New legislation was passed in the UK in January 2007 to allow certain companies to apply for REIT status. They are tax-efficient property investment vehicles, and so can trade at a value more closely reflecting their assets. To qualify, the company must distribute 90% of their profits to investors. The change in legislation was brought about to facilitate retail investment, a model that has existed worldwide for a number of years.

Unlisted Shares
Investing in shares that are not traded on an exchange
Access unlisted investment vehicles (such as non-exchange-traded funds) and invest in early stage companies that are looking to raise money through selling shares. These shares will not be traded on an exchange in the short term and investors may find it difficult to sell or obtain an accurate value for their investment. An early stage company may have a plan to list on a stock exchange at a designated point in the future and by doing so will give investors an opportunity to realise (sell) their investment.

These are unquoted securities which may have more risks than quoted securities or shares. Shares in these investments can be non-readily realisable (difficult to sell) at a reasonable price and, in some cases, may be difficult to sell at any price or to obtain an accurate value for your investment.
Some of these unlisted offers may be in EIS (Enterprise Investment Schemes) which are investments in private companies where restrictions may apply to the transfer of these private company securities.
Please ensure that you have thought carefully about your financial position and whether an investment in an unquoted security is right for you before investing. Also ensure you read and fully understand the risk factors and terms and conditions of an offer before investing.
