Date Posted: 2008-04-21 09:23 New Issue: TAI ZI CAPITAL LIMITED A 'Shell' investing company, with the main country of operation being Taiwan, but also China and Hong Kong.
The Objective
The Company intends to create shareholder value and capital growth by acquiring properties and growing a portfolio of rental investment properties located in major cities in Taiwan, Hong Kong, Macau and possibly other areas of China. These are anticipated to comprise mainly commercial properties such as offices, and also some residential properties. The Board believes that this may provide attractive cash flows and yields together with opportunities for further revenue growth through proactive property management. The Company may also invest in other property related companies. The Directors are at a very early stage of screening potential investments and acquisitions but have not as yet reached a stage where they would need to commission independent reports or due diligence and no discussions have been held with potential vendors.
The Investment Strategy
The Directors intend actively to manage the acquired properties. The Company intends to invest in a range of office, commercial and residential properties though if other potentially lucrative opportunities arose in, for example, retail or other property sectors, these would be given consideration. The Company will primarily seek to invest in income-producing properties in or around major urban centres. The Company may also invest in the construction and development or refurbishment of properties, either wholly owned by the Company or as joint ventures in conjunction with other investors. Such investment may either be made directly by the Company or via special purpose vehicles (SPVs).
If no investment or acquisition is made within 18 months of Admission, then the Directors intend to convene a meeting of Shareholders to consider whether to continue with its business, to consider other options open to the Company, or to wind up the Company and to distribute any surplus cash to Shareholders.
Experience in the sector : The Directors believe that their broad experience in real estate and asset management will assist them in the identification and evaluation of acquisition opportunities. Mr. Chen, has many years experience of investing in and managing property in Taiwan and the regions in which Tai Zi will operate. Lawrence NG has extensive experience in asset management. Mr Ward has extensive experience with AIM companies as a chartered accountant in the UK.
